This agreement has been written with the intent of Party A providing consultancy services as outlined in Exhibit A, to Party B and working cooperatively and in partnership to design, develop and operate a World Class Project at Party B’s selected site in Tongzhou, Beijing, PRC and to assist with any project’s and initiatives of Party B’s growth initiatives going forward.

1.1 Services – Party B has engaged Party A to provide services in connection with Party B’s Development and Operational Strategies for its Tongzhou Project. Party A will assist in, and oversee the creation and implementation of strategy, concept, planning, de

1.2 Time and Availability - Based on the parameters of the Compensation framework, Party A will devote the necessary hours per month in performing the services for Party B as stated in Exhibit A. Party A shall have discretion in selecting the dates and times it performs such consulting services but will generally be available to coordinate with management, employees, suppliers, partners, contractors and other consultants.

1.3 Location – Party B will be available to be present at Party B’s place of business or designated location as needed, but generally will perform the duties of the scope from Party A’s office or assigned location. Timing will be based around core needs of Party B, focused on requirements to be present for project meetings, evaluations, projects and any other coordination requirements of Party B. Party B will from time to time designate other members of Party B’s team to be present for specific events, activities or items requiring specific technical expertise.
1.3 地点 – 在甲方需要的时候，乙方应出现在其办公地点或指定的地点。时间的选择将基于乙方的核心需求，并关注于乙方为项目会议、评估、方案提出的要求和乙方提出的任何其它协作要求。如果甲方在某一时期不能亲自出现在有关地点，甲方就必须保证可以通过和手机等方式为乙方提供服务。乙方会不时指派乙方团队的其他成员来参加会议、活动和其它需要专业人士参与的会面。
1.4 Confidentiality - In order for Party A to perform the consulting services, it may be necessary for the Party B to provide Party A with Confidential Information (as defined in Article 5) regarding the Party B’s business and products.

1.5 Standard of Conduct - In rendering consulting services under this Agreement, Party A shall conform to high professional standards of work and business ethics. Party A shall not use time, materials, or equipment of Party B without the prior written consent of the Party B.

1.6 Reports – Party A shall periodically provide Party B with written reports of his observations and conclusions regarding the consulting services. Upon the termination of this Agreement, Party A shall, upon the request of Party B, prepare a final report consolidating all conclusions regarding the consulting services.钢结硬质合金

ARTICLE 2 - INDEPENDENT CONTRACTOR
第 2 条 – 独立承包人
2.1 Independent Contractor – For the purpose of this particular agreement, Party A is an independent contractor and is not an employee, partner, or co-venturer of Party B.
2.1 独立承包人 – 为了实现本协议的目的，甲方的身份应是乙方的独立承包人，而不是乙方的雇员、合伙人或共同投资人。
2.2 Taxes – Party B shall be responsible for the settlement of any tax contribution arising from the payment of compensation, which shall be borne out of Party B’s own expense and shall not be deducted from the compensation of Party A under this Agreement. Party A shall be responsible for all other taxes arising from compensation and other amounts paid under this Agreement
2.2 税款 – 乙方应承担因支付甲方服务报酬而发生的税费，该营业税和所得税应由乙方另行支付而不得从甲方根据本协议应获得的报酬中扣除。 因本协议项下的服务报酬和其他费用所产生的其他所有税费均由甲方承担。
ARTICLE 3 - COMPENSATION FOR CONSULTING SERVICES
第 3 条 咨询服务的报酬
3.1 Compensation – The Scope of work to be undertaken by Party A has been valued at in the form of a retainer of $8,500.00 USD per month for services rendered to Party B under this Agreement for the duration of the Scope and the transition from Phase One int
o Phase Two of the Project. All services will be documented and submitted with Party A’s invoice. Party A will invoice Party B for the retainer on a monthly basis (50% in arrears/50% in advance) and reimbursement will be made via wire transfer into Party A’s account within 14 days of receiving invoice. Invoices for additional work, subject to pre-approval, will be subject to prior approval, sent as needed and payment will be considered due within 14 days of receiving invoice..
