协议如下This Contract provides the following：
1. 销售与购买Sale and Purchase
1.1 根据本合同，卖方同意销售，买方同意购买本合同附件1所列货物（下称“货物”）。On the basis of this Contract, the Seller agrees to sell, and the Buyer agrees to buy, the goods set forth in Appendix 1 (the “Goods”). 1.2 本合同的条款和条件将取代任何其它条款和条件，包括但不限于，由买方或卖方所作的在任何报价或订单中包含或提及的条款和条件。买方进一步向卖方声明确认其不是依赖任何由卖方或卖方代表所作的声明而签署本合同。 The terms and conditions of this Contract shall supersede all other terms and conditions, including but not limited to terms and conditions included in or alluded to in any quotation or order form issued by the Buyer or the Seller. The Buyer further represents to the Seller and confirms that it is not signing this Contract in reliance upon any representation of the Seller or the Seller’s representative.
2. 价格Price
2.1 货物的价格在本合同的附件1中列明。
The prices of the Goods are set forth in Appendix 1 of this Contract.
2.2 该价格包含货物的增值税或销售税（如有的话）、运费、保险费及任何卖方提供的服务而收取的服务费。买方特此确认承担上述费用。
The price shall include value-added tax or sales tax (if applicable) on the Goods, it shall also include shipping costs, insurance premiums and any service fee generated by Seller’s service. The Buyer hereby affirms that it shall bear the aforementioned costs.
2.3 除非另有明确约定，货物的价格以人民币为计算单位。
Unless explicitly stipulated otherwise, the price of the Goods shall be calculated in CNY.
3. 购买程序Purchase Process
3.1 u型吊臂买方购买任何货物，应先以书面的形式订货（下称“订单”），并按以上写明的卖方地址或者卖方另行指定的地址，将订单以邮资已付的方式邮寄或亲自交付给卖方，也可以按卖方指定的号码传真给卖方，或者是通过其他双方不时同意的方式将订单交给卖方。除非并且直到卖方收到完整清楚的订单之后，卖方才有义务采取一定的行动。订单必须明确列明货物的名称、数量以及有关的技术规格。
When the Buyer purchases any item(s), it must first submit a written order (referred to below as “the Purchase Order”). The Purchase Order may be delivered to the Seller in person; or it may be delivered by prepaid post to the Seller’s address as set forth above or to any other address stipulated by the Seller; or it may be sent by fax to a number stipulated by the Seller; or it may be delivered by any other means that the Parties may agree to from time to time. Unless and until the Seller receives a complete and clear Pur
chase Order, the Seller shall be under no obligation to take any particular action. The Purchase Order shall clearly list the name and quantity of Goods, as well as any related technical specifications.
3.2 应买方的要求，卖方也可以就任何货物给出报价（下称“卖方报价”），买方可以通过接受报价的方式来订货。在这种情况下，买方应当在卖方报价上签字，然后按本合同第3.1条规定的方式交给卖方。本合同中，任何经买方签字的卖方报价均视为订单。
The Seller may, at the Buyer’s request, also issue a price quotation (referred to below as the “Seller Quotation”) for any Good, and the Buyer may place an order by accepting the quotation. To accept a quotation, the Buyer shall sign the Seller Quotation and then submit it to the Seller in accordance with the methods set forth in Clause 3.1 of this Contract. For the purposes of this Contract, any Seller Quotation signed by the Buyer shall be considered a Purchase Order.

3.3 只有卖方以书面的形式接受后，订单才对卖方具有约束力。
The Seller shall be bound by the Purchase Order only after it has accepted the Purchase Order in writing.
3.4 在任何时候，为了符合中国或其他地方适用的法律或其他方面的要求，卖方有权变更货物的规格，只要这样的变更不会实质性地影响货物的质量或性能。如果该等变更是必要的，卖方应在确认有关订单的同时书面通知买方。
The Seller has the right to modify the specifications of Goods at any time in order to comply with laws or requirements in effect in China or other jurisdiction; provided, however, that the alteration shall not substantially influence the quality or nature of the Goods. In the event that such an alteration becomes necessary, the Seller shall notify the Buyer simultaneously with the confirmation of the respective Purchase Order.
3.5 一旦采购订单得到确认，便不能被购买者撤回。
After confirmation of the purchase order, such order cannot be withdrawn by the Buyer.
4. 付款Payment
4.1 双方同意按照如下的_______方式支付合同价款。
a. 本合同签订后5日内买方支付合同总价款的50%作为首付款，另外50%在货物交付前支付
b. 本合同签订后5日内买方支付合同总价款的50%作为首付款，总价款的45%在货物交付前支付，5%在验收报告出具之日的一年后支付
c. 本合同签订后5日内买方支付合同总价款的50%作为首付款，总价款的25%在货物交付前支付，20%在买方出具验收报告后15天内支付，剩余的5%在验收报告出具之日的一年后支付
Both parties hereby choose____ as the method to make the payment
a. 50% of total payment as a down payment shall be made by Buyer within 5 days after signing of this contract; the remaining 50% shall be made before the delivery of Goods hereof.
b. 50% of total payment as a down payment shall be made by Buyer within 5 days after signing of this contract; 45% of total payment shall be made before the delivery of Goods hereof and the remaining 5% shall be made 1 year later, after Acceptance Test Report.
c. 50% of total payment as a down payment shall be made by Buyer within 5 days after si
蝈蝈罐gning of this contract; 25% of total payment shall be made before the delivery of Goods hereof；20% of the total payment shall be made within 15 days after Acceptance report issued by Buyer, and the remaining 5% shall be made 1 year later, after Acceptance Test Report.
4.2 如果买方迟延支付首付款，卖方有权对货物交付日期延后相同的天数。首付款的支付日期以银行水单为准。
在合同确定的货物交付之日或之前，买方必须按照第4.1款支付款项，不得以任何非卖方导致的事由拖延支付。
买方usb话筒不得以非卖方导致的事由迟延出具货物验收报告。买方必须签署货物验收报告并作为本合同的一部分，以便卖方能够进行货物试运行。如果非卖方的过失或者未解决的问题，任何延误或者绝决签收验收报告都是不可接受的或者无效的。
验收报告仅对卖方生产的货物有效。任何买方和其客户（终端用户）签署的业务相关的验收报告，卖方不认可作为本合同的一部分或者作为余款支付的条件。
如果非因卖方的原因，买方在货物交付后15天内没有出具货物验收报告，视为货物已经验收并认可，同时买方需要按照第4.1款支付货款。
买方不能扣留任何分期付款，甚至是因为质量的问题。唯一可以扣留的是5%的在验收报告出具之日的一年后支付的保证金。质量问题由卖方更加产品性质进行解决。
Where Buyer delay the down payment, Seller is entitled to postpone the confirmed delivery date for the same working days and the date of down payment shall be determined by bank slip.
